1 Terminology
1.1 The terms “Cool Components”, “Our”, “Us” and “We” refers to Cool Components Ltd.
1.2 The terms “You”, “Your”, “Yourself” and “User” refers to you the viewer and purchaser of the materials.
1.3 The terms “Materials”, “Resources” and “Content” refers to the digital products provided by Cool Components Ltd.
2 Licence / Privacy
2.1 You acknowledge being bound to all the terms and conditions set out in our PRIVACY POLICY.
2.2 We review all Our agreements and policies regularly and any changes made to any of them will be added accordingly.
2.3 This Agreement along with our Terms and Conditions, Delivery Information, Returns Policy, Privacy Policy and Website Prices make up the whole agreement relating to the supply of services to you by Cool Components.
2.4 Where there is a breach in this agreement or any other as mentioned in 2.3 we will remove your access to the purchased Content and take any other action We deem appropriate.
3 Copyright
3.1 You agree that all materials You download remain the property of Cool Components in perpetuity.
3.2 You must not use Our digital products for commercial purposes in any way.
3.3 You must not alter any of the digital products unless they specifically state otherwise or You have gained written permission from Cool Components.
3.4 You will not forge headers or otherwise manipulate identifiers in order to disguise the origin of the materials.
3.5 You must not reproduce, host, provide links to or share the resources in any way that is outside of Your purchased licence as mentioned in 6. Purchased Licence Agreement.
4 Content Material
4.1 Our digital content is designed around the National Curriculum of the United Kingdom. We understand that Our resources can be used globally and advise anyone purchasing internationally to use any of Our Content at Your own risk.
4.2 You acknowledge that there is a risk You may be exposed to content that You might find indecent, offensive and/or objectionable. You agree to report this to Us at either 02033 930 813 or email us at sales@coolcomponents.co.uk where We will take any action We deem appropriate.
4.3 We will always correct content where any mistakes or errors have been found. It is Your responsibility to ensure that information is correct before use. We do not accept any responsibility for the way You use any of the content.
4.4 You acknowledge that extra materials and/or hardware may be required to complete some of the tasks in the content. We include links to all extra materials and/or hardware that are required on the Contents feature tab on Our website. It is Your responsibility to ensure these have been purchased before use.
5 Fair Use
5.1 You acknowledge Our fair use policy, and that user accounts are monitored for us to determine whether a violation has or is occurring along with the number of monthly downloads being carried out.
5.2 Any user exceeding the download limits as stated in 6. Purchased Licence Agreement will mean your access to all purchased content will be subject to review.
6 Purchased Licence Agreement
6.1 All materials purchased and downloaded under this licence are for the buyer or one teacher to use at home or in their lessons and/or clubs only.
6.2 Purchase of additional copies are required for any establishment that requires these to be used by multiple teachers/leaders.
6.3 We consider that no user under this licence would reasonably need to download resources more than 15 times per calendar month. Any more than this shall leave your access to the content subject to review as stated in 5.2.
7 Indemnity
7.1 You agree to indemnify, defend and hold Cool Components harmless from and against any and all liability, losses, costs, claims and expenses incurred directly or indirectly in connection with or arising out for your violations with any of these Terms and Conditions.
8 Disclaimers
8.1 You acknowledge and agree that:
8.1.1 Cool Components Ltd has made sure that every effort was made to ensure that all information was correct and up-to-date at the time of publication and is provided on an ‘as-is’ basis. We cannot guarantee fitness for purpose or accuracy for content, you acknowledge that information contained in the digital materials may contain inaccuracies or errors and they are used at Your own risk.
8.1.2 Any material downloaded from Cool Components is done at your own risk and discretion. You are solely responsible for any damage and/or loss of data to your computer or system that results from the download of any such material.
8.1.3 We reserve the right to change pricing and/or availability of any materials for any reason and without notice.
8.1.4 Unauthorised use of accounts may give rise to a claim for damages and/or be a criminal offence.
9 Limitations of Liability
9.1 You expressly acknowledge and agree that Cool Components shall not be liable for any indirect, incidental, special, consequential or exemplary damages, nor for direct or indirect loss of profits revenue, business, anticipated savings, goodwill, opportunity, reputation, business interruption, use, data or intangible losses even if Cool Components has been advised of the possibility of such damage.
10 Website Availability
10.1 We cannot guarantee that the website will operate without interruptions to service and accept no liability for its unavailability.
10.2 You must not attempt to interfere with the proper working of the website, including hacking, tampering, circumventing security or causing disruption to the website.
11 Governing Law
11.1 This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
